GLOBAL MEMBERSHIP AGREEMENT

(Master Agreement – Applies to All Members)

Operating Jurisdictions: United States and India

1. PLATFORM-ONLY ROLE

Real Service Solutions LLC (“Real Service Solutions,” “RSS,” “Company,” “we,” “us,” or “our”) operates a technology platform only.

RSS does not:

Perform, supervise, manage, inspect, or guarantee any services
Provide labor, materials, equipment, logistics, or professional services
Act as a contractor, subcontractor, vendor, broker, insurer, fiduciary, or agent
Provide legal, financial, construction, engineering, or professional advice

RSS only provides:

A digital platform enabling Users, Professionals, and Vendors to connect
Payment facilitation and conditional fund-holding mechanisms
Milestone-based release tools triggered by Member actions
Transaction records and communication tools

All real-world services, materials, pricing, timelines, and representations exist solely between Members.

2. MEMBER TYPES

User (Customer): Requests services or materials
Professional: Independent service provider
Vendor: Independent supplier or logistics provider

All Members act independently, on their own behalf, and at their own risk.

3. NO AGENCY / NO EMPLOYMENT / NO PARTNERSHIP

Nothing in this Agreement creates:

Employment (U.S. or India)
Agency or fiduciary relationship
Partnership, joint venture, or franchise

Professionals and Vendors are not employees of RSS.

RSS exercises no control over:

How work is performed
Pricing or negotiations
Scheduling or staffing
Methods, materials, or outcomes

4. PAYMENT FACILITATION & FUND-HOLDING

RSS may collect, hold, restrict, delay, or release funds based on platform rules.

RSS is not:

A bank
A trustee
A financial institution
An insurer or guarantor

Fund releases occur only based on Member actions and system logic. Release of funds does not represent approval, verification, or acceptance of work by RSS.

5. IDENTITY & CREDENTIAL DISCLAIMER

Any identity verification, document upload, or credential display is:

Self-reported
Informational only
Not a certification, endorsement, or guarantee

RSS does not validate licenses, permits, insurance, or regulatory compliance in any jurisdiction.

6. SERVICES, MATERIALS & PERFORMANCE DISCLAIMER

RSS bears no responsibility or liability for:

Defective or incomplete work
Delays or abandonment
Code violations or permit failures
Personal injury, death, or property damage
Product defects or shortages
Misrepresentations between Members

All disputes regarding work or materials are strictly between Members.

7. DISPUTES & ADMINISTRATIVE HOLDS

RSS may:

Freeze or restrict funds
Suspend accounts
Delay releases during disputes or reviews

Such actions create no liability for RSS.

RSS is not a mediator, arbitrator, or judge.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

RSS shall not be liable for:

Indirect, incidental, special, punitive, or consequential damages
Lost profits, revenue, data, or business
Personal injury or property damage
Acts or omissions of any Member

Maximum liability, if imposed:
Total platform fees paid by the Member in the prior twelve (12) months.

9. INDEMNIFICATION

Each Member agrees to defend, indemnify, and hold harmless RSS, its owners, officers, employees, affiliates, and agents from any and all claims arising from:

Services performed or materials supplied
Violations of applicable law (U.S., India, or otherwise)
Personal injury, death, or property damage
Fraud, misrepresentation, or negligence
Tax, labor, employment, or regulatory claims

This obligation survives termination.

10. TAXES & COMPLIANCE

Members are solely responsible for:

Taxes, filings, and reporting
Licensing, permits, and registrations
Insurance and bonding
Compliance with all applicable laws

RSS has no responsibility for Member compliance obligations.

11. TERMINATION

RSS may suspend or terminate accounts at any time for:

Policy violations
Risk or compliance concerns
Legal or regulatory reasons
Platform integrity

Termination does not waive outstanding obligations.

12. NO WARRANTIES

The platform is provided “AS IS” and “AS AVAILABLE.”
All warranties, express or implied, are disclaimed.

13. GOVERNING LAW & VENUE

United States Members:
Governing law: State of Arizona
Venue: Maricopa County, Arizona, USA

India Members:
Governing law: Laws of India
Venue: Courts of competent jurisdiction in India

RSS may determine applicable jurisdiction based on Member location and activity.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between RSS and the Member.

ROLE-SPECIFIC CLICKWRAP AGREEMENTS

(Used during onboarding – legally binding)

USER (CUSTOMER) AGREEMENT – CLICKWRAP

RSS does not perform or verify services
RSS does not guarantee outcomes or materials
Fund release does not equal approval by RSS
All disputes are with Professionals or Vendors
RSS may freeze funds during disputes without liability

User agrees to indemnify RSS for all claims related to services requested.

PROFESSIONAL AGREEMENT – CLICKWRAP

Independent contractor status
Full responsibility for work quality, permits, safety, insurance, and taxes
No employment, agency, or partnership with RSS
No reliance on RSS for legal or regulatory compliance

Professional indemnifies RSS for all claims arising from services performed.

VENDOR AGREEMENT – CLICKWRAP

Independent supplier status
Responsibility for product quality, delivery, warranties, and compliance
No endorsement or representation by RSS
No reliance on RSS for logistics or regulatory compliance

Vendor indemnifies RSS for all product and delivery claims.

RSS TRUST LAYER ADDENDUM

RSS provides ledger-based wallets, not bank accounts
Funds may be held, delayed, reversed, or offset for disputes, fraud prevention, compliance reviews, or regulatory requirements
No interest is paid on held funds
RSS is not responsible for third-party processor outages or failures
RSS has sole discretion to enforce Trust Layer rules

INDIA COMPLIANCE APPENDIX

RSS operates as a technology intermediary, not a service provider under Indian law
RSS does not employ Indian Professionals or Vendors
Indian Members are responsible for:
- GST registration and filings
- Local licensing and permits
- Labor law compliance
RSS assumes no liability under Indian consumer, labor, or service laws for Member activity
